LizAnn is a trusted advisor to companies, organizations and individuals facing complex business and legal challenges. She is a highly accomplished professional with a remarkable career that spans the legal, academic, and public sectors. Her career has been shaped by working collaboratively to identify opportunities, implement value-enhancing strategies and solve problems. LizAnn brings an unusual range of business, strategy and regulatory expertise in both large organizations and startups. She regularly advises entrepreneurs, evaluates and invests in businesses, and serves on public, private and governmental boards.

LizAnn is an Acting Professor of the Practice at Cornell Law School, and has taught at Cornell in Ithaca and Cornell Tech on Roosevelt Island since 2018. At the end of 2018, LizAnn retired from Cravath, where she had been a Corporate Partner since 2005, and had a wonderful 20 plus-year career. Her practice focused on domestic and international public and private corporate finance transactions, corporate governance and reporting matters, M&A, and liability management transactions. She has worked across many industries, including technology, financial services, industrials and consumer products.

From January 2022 to September 2022, LizAnn served as the Deputy Director, Disclosure Operations, Division of Corporation Finance at the SEC. In that seat, she led a team of over 350 people overseeing the disclosure review program for ‘33 and ‘34 Act disclosure, including in emerging areas such as fintech and digital assets, and division-wide performance evaluation, risk oversight and strategy.

LizAnn’s experiences have deepened her passion to work with entrepreneurs as a valuable sounding board to them on strategy, regulatory matters and talent. She was on the board of a SPAC and serves on the board of CEA company capitalizing on emerging market trends. Since 2018, through teaching at Cornell Tech, she has spent time with entrepreneurs early in their startup journey. This complements her role as a Senior Partner, Strategy & Regulatory, at Braven, an early-stage investment firm, and as an independent advisor to startups in the fintech, digital health and consumer products.

Charles K. Whitehead specializes in the law relating to corporations, financial markets, and business transactions. After clerking for the Hon. Ellsworth A. Van Graafeiland, U.S. Court of Appeals (2nd Circuit), Professor Whitehead practiced in the United States, Europe, and Asia as outside counsel and general counsel for several multinational financial institutions. His practice included representation involving IPOs and other exempt and registered securities offerings (from startups to seasoned global issuers), acquisitions and other strategic transactions, derivatives and other complex financial instruments, and loan and other credit transactions.

Before joining Cornell, Professor Whitehead was on the faculty of the Boston University School of Law and he was a research fellow at Columbia Law School. His current scholarship focuses on the financial markets, financial regulation, and corporate governance.

Matthew D’Amore is a Professor of Practice at Cornell Tech and in the Law School at Cornell University; he currently serves as an Associate Dean at Cornell Tech and as Director of the Law, Technology & Entrepreneurship Program. Professor D’Amore comes to Cornell after a 20-year career at the international law firm of Morrison & Foerster, where he represented high technology and life sciences clients in the resolution of complex intellectual property disputes and licensing matters.

In addition to his work for technology clients, Professor D’Amore has been recognized for his pro bono work in impact cases for children denied special education services and for citizens deprived of the right to vote, and he has served as an adjunct professor at Cornell Law School.

Now at Cornell Tech, Professor D’Amore brings his legal industry experience to the Cornell Tech community, teaching Technology Transactions and Trade Secret Law and Practice. He received his B.S., with distinction, in Biology and Society from the Cornell University College of Agriculture and Life Sciences and his J.D. from Yale Law School.

Nicholas A. Dorsey focuses his practice on representing corporate issuers and borrowers, financial institutions, lenders, and other parties in public and private offerings of securities, loan transactions, and other financing transactions. He also represents companies in mergers and acquisitions and regularly advises clients in connection with public disclosure and corporate matters. Additionally, Mr. Dorsey dedicates a significant portion of his practice to providing commercial and strategic advice to startup, early‑stage, and founder‑led companies as well as investors in such companies. Clients regularly seek his counsel for the practical, commercial advice he offers with respect to their most challenging matters.

In addition to traditional capital markets offerings and banking transactions, Mr. Dorsey’s financing practice includes advising on liability management transactions and asset financings and securitizations. He has extensive cross‑border experience and counts multiple international companies and financial institutions among his diverse client base.

Elizabeth Morgan represents public and private companies, as well as investment banks and investors, in a broad range of capital markets transactions and corporate governance and disclosure matters.

Ms. Morgan’s capital markets experience includes investment-grade and high-yield debt, sustainability-linked and green bonds, convertible notes, preferred stock, initial public offerings, secondary offerings, “shelf” offerings, “at-the-market” offerings, and Rule 144A transactions, as well as private placement transactions, tender offers, exchange offers, consent solicitations, and other corporate reorganization and liability management transactions.

Ms. Morgan also advises public companies and their boards of directors on corporate governance, securities law, and ESG and sustainability matters, including best practices and disclosures. Representative experience includes advising on Securities and Exchange Commission reporting requirements, proxy disclosures, stakeholder engagement, director independence, proxy advisory services, board and committee charters and governance guidelines, and disclosure controls and procedures. She also advises public companies on shareholder activism, including on shareholder proposals and preparing for and responding to hedge fund and corporate governance activism.

Ms. Morgan’s experience includes a variety of syndicated loan transactions, leveraged acquisition finance, mergers and acquisitions, and other strategic corporate transactions. She represents both foreign and domestic companies in a variety of industries, including healthcare, retail, technology, and REITs.

More than a dozen years of experience working for and representing start-ups and tech companies at every phase of the startup life-cycle. With a special focus on high-stakes, heavily negotiated transactions and novel product development in regulated industries, I enjoy working with mission-focused, rapidly scaling, emerging growth technology companies in industries around the world.

Susan A. Meisel is Executive Vice President, Head of M&A and Strategic Investments and Corporate Deputy General Counsel for Sony Music Entertainment where she is the global legal and business affairs lead for Sony Music’s M&A and strategic investment activity. She is also responsible for overseeing the management of Sony’s global portfolio of 150 subsidiaries, protection and management of over 3000 trademarks and Sony Music’s commercial contracts, including global technology, real estate, finance and HR solutions.

Since leaving her position as a capital markets and M&A corporate associate at Simpson Thacher, Susan has spent the past 30 years in a variety of in-house counsel roles, including Sony Electronic Publishing, Viacom New Media, the Institute of International Education, Village Voice Media and Credit Suisse.

While at Sony Music, Susan has worked on numerous significant transactions, including Sony Music’s $768 million sale of Spotify equity in its 2018 direct listing IPO; $100 million Cornerstone Investment in NetEase Cloud Music’s Hong Kong stock exchange IPO; $430 million acquisition of AWAL, a UK-based artist services company from Kobalt Music Group; $230 million acquisition of Som Livre, a Brazilian music company from Globo; and the formation and subsequent expansion of a ticketing venture with CTS Eventim that now operates in Brazil, Chile and Peru.

Susan also serves on the Board of Lirica, a start-up mobile app business for learning languages with the power of music, and BioBus, a New York-based not for profit that helps underrepresented and underserved individuals and communities discover, explore and pursue science. She is an Operating Advisor for The 98, a fund that invests in early stage technology businesses led by women. Susan is a graduate of Georgetown Law School and Georgetown University.

Michael L. Arnold is a member of Cravath’s Corporate Governance and Board Advisory Practice. Mr. Arnold counsels clients with respect to their most sensitive and highest‑risk matters, advising boards of directors and senior management on a broad range of corporate governance, public reporting, disclosure and compliance matters, including in connection with restatements and other financial crises, as well as cybersecurity incidents. He also advises companies on matters relating to Environmental, Social and Governance (ESG) issues, particularly with respect to investor engagement, ESG shareholder proposals and activism, voluntary and mandatory ESG reporting, and ESG‑related governance processes.

Mr. Arnold is a frequent speaker and author on legal developments impacting the areas of corporate governance and ESG. He has moderated or spoken on panels hosted by the American Bar Association, the University of Delaware’s Weinberg Center for Corporate Governance, the American College of Governance Counsel and the Council of Institutional Investors, among others, and at events such as TechGC’s Global Summit, the Florida Bar Association’s Federal Securities Institute and Northwestern Pritzker School of Law’s Ray Garrett / Corporate Counsel Institute and Securities Regulation Institute. Mr. Arnold currently serves as Co‑Chair of the American Bar Association’s ESG Subcommittee, a joint subcommittee of the Corporate Governance Committee and Federal Regulation of Securities Committee in the Section of Business Law, and served as Co‑Chair of the drafting committee for the Federal Regulation of Securities Committee in their comment letter on the SEC’s climate change disclosure rulemaking proposal.

Mr. Arnold has been named to the Lawdragon Green 500: Leaders in Environmental Law list, which recognizes lawyers for their advice on corporate governance, environmental transactions and ESG matters, and the Lawdragon 500 X – The Next Generation list for the fields of Corporate Governance and ESG. He received Euromoney Legal Media Group’s 2022 Americas Rising Star Award for “Best in Corporate Governance.”

Machua Millett is the Chief Innovation Officer and Alternative Investment Practice Leader at Lockton Financial Services, in which role he creates new insurance products for unaddressed risk exposures and serves as a technical expert on management and professional liability issues for private equity, venture capital and hedge fund managers, SPACs and target companies, and private and public companies. He works on a regular basis with GPL policies, portfolio companies, D&O programs, SPACs, and companies making the transition from private to public through initial public offerings (IPOs) and reverse mergers, D&O/management liability, pension trust liability, fidelity/crime, employment practices liability, private equity/venture capital professional services liability, internet/e‐commerce/cyber liability, kidnap and ransom, and merger and acquisition facilitation products. Mach has also been involved in creating new insurance products relating to wage and hour liability, FCPA investigation costs, FERC investigation costs, the responsible corporate officer doctrine, Dodd Frank compensation claw-back, cyber liability, social engineering loss, Chief Compliance Officer personal liability, intellectual property infringement liability, reputational risk, medical billing and coding liability, and transaction facilitation.

Mach came to Lockton after twelve years at Marsh and ten years as an attorney at Skadden Arps, Bingham McCutchen, and Edwards Angell Palmer & Dodge, where he practiced law as an intellectual property, securities and general commercial litigator and insurance coverage defense lawyer. He has extensive experience crafting insurance contracts and litigating, arbitrating, mediating and negotiating the settlement of complex securities, intellectual property, business and insurance coverage disputes.

Following a 20-year career as a litigation partner at Cravath, Swaine & Moore in NYC, Elizabeth began her second professional chapter in the world of nonprofit leadership, currently as an interim C-Suite executive. She has served as the Interim Executive Director of a maternal health advocacy organization called Every Mother Counts, which focuses its work in the United States and around the world, and ran operations on an interim basis for Sponsors For Educational Opportunity (SEO), which works throughout the United States to help underserved students and young adults succeed in high school and college and in careers in the law, finance, and business. Elizabeth has experience working on finance, investment, and trade issues at the international level with the FILE Foundation. Including work with the Climate Bonds Initiative surrounding environmental finance issues.

Prior to joining Commvault, Danielle served as General Counsel at financial technology services company Bottomline (NASDAQ:EPAY) and at cloud-backup SaaS solutions provider Carbonite (NASDAQ:CARB). René Paula is a multi-exit scale-up executive in legal, finance and operations with the rare combination of startup, enterprise and VC investing experience. With a hands-on, roll-up-the-sleeves attitude, he has deep battle scars and learnings from launching and growing products and services in 20+ countries in digital media, B2C/DTC ecommerce, food & beverage retail (bars and restaurants), consumer packaged goods (CPG), and biotech operations. He also has substantial experience in negotiating M&A and private equity transactions and then integrating and scaling such portfolio companies. Allen Parker served from March 2017 until March 2020 as an executive at Wells Fargo & Company in San Francisco. He was Wells Fargo’s Chief Executive Officer and a Board Member from March 2019 until November 2019, and was the General Counsel for the remainder of his tenure.

Allen is currently the President of J.H. Whitney Investment Management, LLC, a company that creates investment indices, provides geopolitical risk-rating services, and performs risk analytics for governmental and commercial entities. He is also currently a member of the Board of Directors of Archer Systems, LLC, a company that provides comprehensive litigation-related claims administration and other settlement services, and was elected an Independent Director of Silicon Valley Bank Financial Group following its bankruptcy filing. Allen is also currently a member of the Board of Directors of, or an advisor to, several not-for-profit organizations.

Earlier in his career, Allen was a partner in the New York law firm Cravath, Swaine & Moore LLP. While at Cravath, he specialized in finance and corporate governance and served in a variety of firm leadership roles, including serving from January 2013 through December 2016 as Cravath’s Presiding Partner.

Allen received a B.A. in 1977 from Duke University, where he majored in political science and comparative area studies. He then received an M.A. in political science in 1980 from the University of Chicago, where he focused on international affairs and political systems in China, India, Pakistan, and the Middle East. Allen received a J.D. in 1983 from the Columbia University School of Law, where he was a Notes and Comments Editor of the Columbia Law Review.

Bill Priestap is a founder of Trenchcoat Advisors, a boutique risk management firm. He is a recognized thought leader in national security, with a particular expertise in business security risks. Mr. Priestap spent 21 years at the FBI. While serving as head of the Counterintelligence Division, his responsibilities included the development and implementation of the organization’s global strategy to counter foreign nations’ intelligence efforts against the United States. Earlier in his career, Mr. Priestap handled transnational organized crime and later counterterrorism investigations. Over the years, he has interacted with hundreds of businesses and gained deep insight into the risks they face. Mr. Priestap is also an Adjunct Professor at Georgetown University’s Walsh School of Foreign Service, where he was previously a Centennial Fellow.

Alasdair joined Goldman Sachs in 2006 and currently serves as the company’s Chief Security Officer, responsible for management of GS’s security, crisis management programs and geopolitical risk assessment.

From 2008 to 2020 he was the Regional Security Director for Asia Pacific, leading a team responsible for delivery of security and safety services, crisis management planning and testing (including co-chairing the region’s business continuity planning committee), preparation of regional threat assessments and delivery of client briefs on geopolitical security and stability issues. Between 2006 and 2008 Alasdair was the Regional Security Director EMEA (Europe, the Middle East and Africa).

Prior to joining Goldman Sachs, he worked for the British Government’s Ministry of Defence from 1989 to 2006.

Jen is the head of our Executive Compensation practice. She focuses on executive compensation and employee benefits matters, particularly in connection with mergers and acquisitions, spinoffs, initial public offerings and other business transactions. She also advises public and private companies on the design, implementation and disclosure of equity and cash incentive compensation and retention programs, as well as the negotiation of executive employment and severance agreements. In addition, Jen advises senior executives and management teams in negotiating employment and incentive arrangements.

Law360 named Jen a “Benefits MVP of the Year” in 2023. Her work is also recognized by publications including Legal 500 U.S. and Chambers USA.

David M. Fine is the Deputy General Counsel for Litigation at KPMG LLP (US) and a Principal of the Firm. He leads the OGC Litigation Group, which consists of teams of talented and experienced attorneys, audit partners, paralegals, and electronic discovery specialists. Together, they actively manage the Firm’s civil litigation, arbitration, and government/regulatory investigation and enforcement matters. David develops legal strategy, manages litigation risk and budget, retains and supervises outside counsel, and advises the Firm’s senior leadership on insurance matters and other significant issues. He also serves as Executive Sponsor of the Legal, Regulatory & Compliance (LRC) DEI Advisory Council, helps lead the Firm’s Veterans Business Resource Group, and has a role representing KPMG Americas Ltd. He reports to the General Counsel/Vice Chair for LRC.

David has nearly twenty-five years of experience with high-stakes, complex litigation and regulatory investigations. He was previously a partner at the global law firms King & Spalding LLP and Orrick, Herrington & Sutcliffe LLP. He served as the Deputy Chair of Litigation at Orrick and also as a Special Assistant District Attorney in Manhattan while employed by that firm. David began his legal career at Arnold & Porter LLP following a clerkship for a federal appellate judge in Philadelphia.

As outside counsel, David represented accounting firms and their professionals in state and federal courts around the United States as well as before a variety of regulatory agencies. David tried cases to complete defense verdicts for two of the Big Four firms. Most recently, he served as trial counsel for a Big Four firm that successfully defended against a USD$3 billion claim in federal court.

David is currently a member of the Legal Services Corporation’s Leaders Council and previously served as a Co-Chair of the American Bar Association’s Accountants’ Liability Subcommittee, as a member of the NYC Bar Association’s Financial Reporting Committee, and on Law360’s Editorial Advisory Boards for Trials and White Collar matters. He has been recognized for Business Litigation and Professional Liability Defense by Super Lawyers, which ranked him in the top 5% of lawyers practicing in the NYC metropolitan area while he was at a law firm. Before becoming a lawyer, he served nearly five years as a police officer in upstate New York and was a certified police instructor.

Greg Land is the lead audit partner in the Litigation Group of KPMG LLP’s Office of General Counsel, supporting in-house and outside counsel in the defense of pending and threatened litigation against the Firm and its personnel.

Prior to joining the Office of General Counsel Litigation Group, Greg provided professional services with KPMG LLP for over 27 years to public and private companies in a variety of industries including technology, services, construction management, distribution, chemicals and manufacturing. Such services included audits of large multi-national groups in accordance with PCAOB, AICPA and ISA requirements under U.S. GAAP and IFRS reporting.

Greg’s audit experience ranges from SEC filings and carve-out financial statements to the successful coordination of global financial statements and Internal Control Over Financial Reporting audits. He has a thorough understanding of SEC rules and regulations and has been involved in debt and equity offerings. Greg has extensive international experience including working and living abroad.

Kathryn-Ann Stamm advises and provides support to the Firm’s clients regarding the protection, growth and management of their intellectual property and technology assets, data security and general privacy matters.
Ms. Stamm has in‑depth knowledge and experience implementing these strategies in the context of corporate transactions such as mergers and acquisitions, spin‑offs and separations, licensing arrangements, partnerships, joint ventures and collaborations.

Handling both domestic and cross‑border transactions, Ms. Stamm provides public and private companies with advice tailored to their unique requirements. She also works extensively with startup, founder‑led and emerging growth companies on maximizing their intellectual property portfolio and preparing their IP, IT security and data management strategies for success in the next stage of their growth cycle.

Ms. Stamm is regularly invited to speak on these topics, including at the 2022 and 2023 Center for Global Enterprise USA Women Entrepreneurship Cooperative Legal Pop‑Up Sessions.
Ms. Stamm grew up in South Africa and France. She received an LL.B. from King’s College London, a Master I and a Master II from University Paris 1 Panthéon‑Sorbonne, an LL.M. from City University of Hong Kong School of Law and a J.D. from Cornell Law School.

Ms. Stamm joined Cravath in 2016 and from 2020 to 2022 served as Senior Court Counsel to the Supreme Court of the Republic of Palau. She rejoined Cravath in 2022, where she continued to co‑captain the Cravath Sailing Team. Ms. Stamm was elected of counsel in 2023.

William P. Rogers, Jr. retired from Cravath’s Corporate Department in December 2015. His practice encompassed the representation of both corporate and financial institution clients in a wide variety of matters, including international securities offerings, corporate governance and SEC compliance matters, mergers and acquisitions, and derivative financial products.

Mr. Rogers was repeatedly cited as one of the country’s leading practitioners in capital markets by, among others, Chambers USA, Chambers Global, The Legal 500 US and IFLR1000.

Mr. Rogers regularly advised a wide variety of the Firm’s clients, including Royal Dutch Shell plc, Bacardi Limited, Time Warner Inc., Northrop Grumman Corporation, CBS Corporation, INEOS Group Limited, Tetragon Financial Group Limited, Costamare Inc., priceline.com Incorporated, FactSet Research Systems Inc., Morgan Stanley, Citigroup, GasLog Ltd. and Goldman Sachs.

Mr. Rogers advised Royal Dutch Shell plc in its $70 billion acquisition of BG Group plc and in connection with its reserves and financial restatements and the corporate restructuring that created Royal Dutch Shell plc. He represented Bank of America, Goldman Sachs, Morgan Stanley and Citigroup in the refinancing by Chrysler LLC of the debt provided by the U.S. Treasury and the Canadian Government. Mr. Rogers also advised Banco Santander SA in the $100 billion acquisition of ABN AMRO by a consortium of bidders, including Santander; and INEOS Group Limited, a major UK chemical company, in the financing of its acquisition of the Innovene chemicals business from BP plc and subsequent debt refinancings.

Mr. Rogers represented a number of non‑U.S. companies in their equity IPOs and initial listings, including GasLog Ltd. (U.S. IPO and NYSE listing), GasLog Partners LP (U.S. IPO and NYSE listing), Costamare Inc. (U.S. IPO and NYSE listing), Safe Bulkers Inc. (U.S. IPO and NYSE listing), Tetragon Financial Group Limited (Global IPO and Euronext Amsterdam listing), T.E.R.N.A S.p.A. (Global IPO and Milan listing) and Royal Dutch Shell plc (Global IPO as part of a unification of predecessors and NYSE, LSE and Euronext Amsterdam listings).

Mr. Rogers also regularly advised the Firm’s corporate clients on derivatives matters, including the implications of the new Dodd‑Frank swaps regulation. He was involved in the formation of the International Swaps and Derivatives Association (ISDA) and, prior to his move to London, regularly represented ISDA on legislative, regulatory and documentation matters.

Mr. Rogers was born in Bronxville, New York. He received a B.A. from Union College in 1972 and a J.D. from Case Western Reserve School of Law in 1978.

Mr. Rogers joined Cravath in 1979 and became a partner in 1985. From 1998 to 2001, he served as the Managing Partner of the Corporate Department and, from 2001 to 2007, headed the Firm’s London office. Mr. Rogers most recently served on the Firm’s Strategy Board.

Caitlin Iseler serves as the head of the Software Practice and is a Managing Director based in the Philadelphia office. In her role, she partners with Private Equity and Venture capital software businesses on mission critical search engagements with a personal concentration in general management (CEOs, CFOs, CHROs/CPOs and Go-to-market) leadership.

Prior to joining DSG, Caitlin was a partner at another publicly traded advisory firm, the founder of a software-focused executive search firm and the founder of an HR Tech software business. Jonathan Katz advises clients on a wide range of executive compensation and human resource‑related matters. His transactional practice involves advising on mergers and acquisitions, divestitures, spin‑offs, joint ventures and private equity transactions. He also regularly counsels both corporate and individual clients on the design, negotiation and implementation of employment agreements and incentive compensation programs. Additionally, Mr. Katz handles securities law compliance matters relating to executive compensation, including new and evolving regulatory matters, such as clawback rules, pay vs. performance disclosure and related matters. Mr. Katz has represented numerous founders and high‑profile executives in compensation‑related matters.

Katz has been recognized for his work in the employee benefits and executive compensation area by Chambers USA, The Legal 500 US and Super Lawyers. In 2019, he was named a “Rising Star” by Law360, recognizing him as one of five outstanding benefits lawyers in the nation under the age of 40. He has also been named by Lawdragon as one of “500 Leading U.S. Corporate Employment Lawyers” and has been listed as a Top Employment Lawyer in North America by MergerLinks.

He is a recipient of the James H. Fogelson Emerging Leadership Award from the UJA-Federation of New York.

Katz was born in Philadelphia, Pennsylvania. He received a B.S. from Cornell University in 2003, a J.D. summa cum laude from Cardozo School of Law in 2007, where he was Notes Editor of the Law Review, and an LL.M. from New York University School of Law in 2013.

He joined Cravath in 2007 and was elected a partner in 2015. He is Co‑Chair of the Diversity Committee.

Frank Pasquale is Professor of Law at Cornell Tech and Cornell Law School. He is an expert on the law of artificial intelligence (AI), algorithms, and machine learning. His books include The Black Box Society (Harvard University Press, 2015) and New Laws of Robotics (Harvard University Press, 2020). He has published more than 70 journal articles and book chapters on topics ranging from technology policy to health law. He co-edited The Oxford Handbook on the Ethics of Artificial Intelligence (Oxford University Press, 2020) and Transparent Data Mining for Big and Small Data (Springer-Verlag, 2017).

Before coming to Cornell, Pasquale held chaired professorships at the University of Maryland, Seton Hall University, and Brooklyn Law School. He has also served as a distinguished visiting faculty member at the University of Toronto Faculty of Law, visiting professor at Yale Law School, and visiting fellow at Princeton’s Center for Information Technology Policy. He clerked for Judge Kermit V. Lipez of the First Circuit Court of Appeals, and was an associate at Arnold & Porter in Washington, D.C.

Gayle Littleton serves as Exelon’s Executive Vice President, Chief Legal Officer and Corporate Secretary.

As Chief Legal Officer, Littleton leads a department of approximately 230 lawyers and legal and claims professionals. She oversees all legal matters, including regulatory proceedings, commercial transactions, litigation, labor and employment, benefits, cyber, privacy, and environmental. She also serves as the Company’s corporate secretary and leads the corporate- governance function.

Littleton is a member of Exelon’s Executive Committee and a member of the Exelon Foundation Board of Directors. She also is the executive sponsor of The Forum for Executive Women and the Network of Exelon Women.

Littleton also is active in the community. She co-chairs the Chicago General Counsel Forum and is on the Board of Directors of the Illinois Holocaust Museum and the Lincoln Park Zoo. She is a member of the Association of General Counsels, the Edison Electric Institute’s Legal Planning Committee, the Economic Club of Chicago, Cornell Law School Dean’s Advisory Council, and the Stetson University College of Arts & Sciences Advisory Board. Littleton also is active with Legal Counsel for Legal Diversity and has made an LCLD Leaders-on-the-Front pledge.

Prior to joining Exelon in 2020, Littleton was Co-Chair of the Investigations, Compliance and Defense Practice at Jenner & Block LLP. Littleton was Chambers USA-ranked in white-collar investigations and was named on Global Investigations Review’s list of 100 “Women in Investigations” globally. She served on Jenner’s Management Committee and co-chaired the firm’s Women’s Forum Steering Committee, comprised of women partners across offices. Before joining Jenner, Littleton was an Assistant U.S. Attorney with the Department of Justice for over a decade in the Northern District of Illinois in Chicago and in the Northern District of Florida. Littleton is a former law clerk to the Honorable Gerald W. Heaney of the U.S. Court of Appeals for the Eighth Circuit and a former law clerk to the Honorable Joseph L. Tauro of the U.S. District Court for the District of Massachusetts.

Littleton received her law degree, magna cum laude, from Cornell Law School and her Bachelor of Arts degree from Stetson University.
